Terms of Service

By creating an account, accessing, or using QuickWMS, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our services.

QuickWMS is an enterprise warehouse management platform designed for the liquidation, recommerce, and reverse logistics industry. The platform comprises 28 integrated modules including, but not limited to:

• Inventory management and tracking
• Receiving, sorting, and grading workflows
• Multi-channel marketplace listing
• Order management and fulfillment
• Barcode and scanning integration
• Analytics, reporting, and performance dashboards
• Team management and role-based access controls
• API access for custom integrations

We reserve the right to modify, update, or discontinue features of the platform with reasonable notice to subscribers.

To use QuickWMS, you must register for an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account, including actions by team members you authorize.
• Notifying us immediately of any unauthorized access or security breach.
• Ensuring that all users added to your organization comply with these Terms.

We strongly recommend enabling multi-factor authentication for all accounts.

QuickWMS is offered on a monthly subscription basis. Key billing terms include:

• Subscriptions are billed monthly in advance. All fees are non-refundable except as required by law.
• There are no per-item or per-transaction fees. Your subscription plan determines your feature access and usage limits.
• We may adjust pricing with at least 30 days' written notice before the next billing cycle.
• Failure to pay may result in suspension or termination of your account. We will provide reasonable notice before any suspension.

QuickWMS is designed for legitimate warehouse management, liquidation, and recommerce operations. You agree not to:

• Use the platform to manage, track, or facilitate the sale of illegal, counterfeit, or prohibited goods.
• Attempt to gain unauthorized access to other users' accounts or our systems.
• Reverse engineer, decompile, or attempt to extract the source code of the platform.
• Use the platform in any way that violates applicable laws or regulations.
• Transmit malware, viruses, or any code designed to disrupt our services.

We reserve the right to suspend or terminate accounts that violate these usage terms.

The QuickWMS platform, including its software, design, logos, documentation, and all related intellectual property, is owned by Upscaled LLC and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes.

You may not copy, modify, distribute, sell, or lease any part of our platform without prior written consent.

You retain full ownership of all data you input into QuickLotz WMS, including inventory records, product information, customer data, order details, and any other content you create or upload.

We do not sell, share, or monetize your data. We access your data only to provide and improve our services, and as described in our Privacy Policy. You may export your data at any time through our built-in export tools.

We are committed to providing reliable and performant services:

• Uptime Target: We target 99.9% platform availability, measured monthly, excluding scheduled maintenance windows.
• Scheduled Maintenance: Planned maintenance will be communicated at least 48 hours in advance and scheduled during off-peak hours when possible.
• Incident Response: Critical issues will be acknowledged within 1 hour and resolved as quickly as practicable.
• Status Page: Real-time platform status is available on our status page.

To the maximum extent permitted by law, Upscaled LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of QuickLotz WMS.

Our total aggregate liability for any claims arising from or related to these Terms or the platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Either party may terminate the subscription with 30 days' written notice. Additionally:

• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• We may terminate or suspend your account immediately for violation of these Terms or for non-payment.
• Upon termination, you will have 30 days to export your data before it is permanently deleted from our systems.
• Provisions that by their nature should survive termination (such as intellectual property, limitation of liability, and governing law) will remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of QuickWMS shall be resolved in the state or federal courts located in the State of Florida.
